Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of HuddleSpot (“the Service”), operated by Ideanix Labs Inc (“we”, “us”, or “our”), an Ontario corporation. By accessing or using the Service, you agree to be bound by these Terms.

HuddleSpot is an all-in-one community platform that enables community builders to create and host online communities, create and sell courses, run discussions and forums, and manage paid memberships and subscriptions. If you do not agree to these Terms, do not use the Service.

Definitions

  • “Account Holder” (also “Community Builder” or “Operator”) refers to users who create and manage communities on HuddleSpot, including creating courses, managing memberships, and configuring community settings.
  • “Member” refers to users who join and participate in communities, including purchasing access to communities, courses, and memberships.
  • “User” refers to both Account Holders and Members collectively.
  • “Content” refers to any text, images, videos, files, course materials, discussion posts, and other materials uploaded to or created on the Service.

Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

Use of the Service

Account Holders may use HuddleSpot to build and host online communities, create and sell courses, run discussion forums, and manage paid memberships for their members. Members may use the Service to join communities, participate in discussions, access courses, and purchase memberships.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You are solely responsible for any Content you create, upload, or share through the Service.

Pricing and Payments

HuddleSpot offers various subscription plans for Account Holders. Current pricing is available on our pricing page. We reserve the right to change pricing at any time with reasonable notice.

All payments are processed through Stripe. By making a payment, you agree to Stripe's Terms of Service. Account Holders who collect payments from Members through the platform are responsible for compliance with applicable tax and consumer protection laws.

Subscriptions renew automatically unless cancelled before the renewal date. Refund eligibility is determined on a case-by-case basis. Contact us for refund requests.

Content and Intellectual Property

You retain ownership of all Content you create and upload to the Service. By uploading Content, you grant us a limited, non-exclusive license to host, display, and distribute your Content as necessary to provide the Service.

You represent that you have the right to share any Content you upload and that it does not infringe on the intellectual property rights of others. We reserve the right to remove Content that violates these Terms.

Prohibited Activities

You agree not to:

  • Send spam, unsolicited messages, or bulk communications to community members
  • Harass, threaten, intimidate, or abuse other users
  • Post or distribute illegal, harmful, defamatory, or obscene content
  • Impersonate another person or entity, or misrepresent your affiliation
  • Scrape, crawl, or use automated tools to extract data from the Service without permission
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Use the Service to build a competing product or service
  • Interfere with or disrupt the Service or its infrastructure
  • Violate any applicable laws or regulations in connection with your use of the Service

Third-Party Services

The Service integrates with or relies on the following third-party services:

  • Stripe — for payment processing
  • PostHog — for product analytics
  • Sentry — for error monitoring

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may cancel your account at any time through your account settings.

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy.

Disclaimer of Warranties and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IDEANIX LABS INC DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERRORS.

Ideanix Labs Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, arising out of or related to your use of the Service. Our total liability is limited as follows:

  • For paid subscription users: liability shall not exceed 100% of the fees paid for the month in which the claim arose
  • For free tier users: Ideanix Labs Inc shall have no monetary liability except as expressly required by applicable law
  • For annual subscriptions: liability shall not exceed 100% of the annual fee divided by 12 months

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such cases, the above limitations shall apply to the fullest extent permitted by applicable law. Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.

Indemnification

You agree to indemnify, defend, and hold harmless Ideanix Labs Inc, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, infringement of third-party rights, or violation of applicable laws in connection with your use of the Service.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
